“Advertisement” – The advertisement (or advertorial content) that will run on Insideecology.com (or it’s newsletter).
“Advertiser” – Individual/Company advertising their products/services on Insideecology.com (website or newsletter).
“Ad Spec” – The technical requirements of the Advertisement.
“Destination Website” – The website that the Advertisement links to.
“Insideecology.com” – The website owned by Inside Ecology Ltd on which the Advertisement will be run.
“Invoice” – Invoice for the Advertisement.
“Link Address” – The web address that is used to link an Advertisement to the Destination Website.
“Period” – length of time the Advertisement will be live on Insideecology.com.
All advertising is subject to these Terms & Conditions and no variation or addition thereto shall be effective unless specifically agreed to in writing by Inside Ecology Ltd. Any other terms or conditions sought to be imposed by the Advertiser are expressly excluded.
Booking and Payment
All advertising is on a pre-pay basis. Advertising is only confirmed and considered booked, when the Advertiser has paid the invoice, and the funds have been received by Inside Ecology Ltd. Until the invoice is paid, and the funds have been received by Inside Ecology Ltd, the Advertisement rates are subject to revision and the booking may be amended or cancelled at any time.
The Advertisement and rate on the invoice are only valid for 7 days.
By paying the Invoice the Advertiser agrees they have read, understand, and agree to these Terms and Conditions.
Advertisement/Creatives
The Advertiser agrees that they have read the Ad Spec sent to them, and will supply an Advertisement that meets the Ad Spec criteria. In the event that the Advertiser does not comply with the Ad Spec, Inside Ecology Ltd reserves the right in its absolute discretion to reject the Advertisement and the Advertiser will be asked to re-supply.
The Advertisement and the Link Address are subject to Inside Ecology Ltd’s approval. All links from the Advertisement will be marked ‘nofollow’. The Advertisement must be of a high standard, and professionally produced. Inside Ecology Ltd reserves the right at any time in its absolute discretion to require the Advertiser to amend any artwork, materials or copy for and relating to any Advertisement.
The Advertiser agrees and understands they they are solely responsible for the Advertisement, the Advertisement’s content, the Link Address, and the Destination Website.
The Advertiser warrants that all content on the Advertisement is legal, truthful, honest accurate, and decent and complies with the ASA, IAB, and all other relevant and applicable codes, guidance or regulations.
The Advertiser warrants that any Advertisement submitted by it for publication shall comply with all applicable laws, legislation, regulations, codes of practice and is not an infringement of any other party’s rights. The Advertiser hereby grants a worldwide non-exclusive, fully paid licence to reproduce and display the Advertisement (including all contents, trademarks and brand features contained therein). The Advertiser will indemnify Inside Ecology Ltd fully for all costs, expenses, damages or liability whatsoever (including legal costs and awards ordered against Inside Ecology Ltd) in respect of any claim made against Inside Ecology Ltd arising from the Advertisement or its publication or as a result of any breach or non-performance of any of the representations, warranties or other terms contained herein or implied by law.
Creatives and copy supplied to Inside Ecology Ltd by electronic means must be free from software viruses and any other malicious computer code or corruption which will harm Inside Ecology Ltd’s servers and/or computer systems.
If, due to technical, time or other reasonable constraints, Inside Ecology Ltd has to amend, repair or rectify the file, Inside Ecology Ltd may (at its discretion) notify the Advertiser and shall not be liable for any inaccurate reproduction of the Advertisement or any resulting costs whether direct or indirect.
Liability
Inside Ecology Ltd will exercise reasonable care and skill in the handling and publishing of the Advertisement and Link Address, but where the Advertisement and Link Address are not published in the manner specified when booked, whether through any failure or negligent act or omission on the part of Inside Ecology Ltd or any third party, Inside Ecology Ltd’s maximum liability to the Advertiser shall be limited (at the option of Inside Ecology Ltd) to either: (a) publishing the Advertisement (or a replacement Advertisement if provided by the Advertiser) as soon as is reasonably practicable in the period following the period during which the Advertisement was scheduled to run; or (b) refund to the Advertiser the amount of any payment made for the Advertisement concerned.
It is the Advertiser’s responsibility to check the accuracy of the Advertisement and the Link Address once the Advertisement is live on Insideecology.com and immediately notify Inside Ecology Ltd of any necessary amendments.
The Advertiser understands and agrees that from time to time the Insideecology.com website may be inaccessible, unavailable, or inoperable for any reason, including, without limitation: (i) equipment malfunctions; (ii) periodic upgrades, maintenance, or repairs; or (iii) causes beyond the control of Inside Ecology Ltd such as interruption or failure of telecommunication or digital transmission links, hostile network attacks, the unavailability or inaccessibility of sites, network congestion, DDoS attack, or other failures; (iv) server, database, software, and hosting error/failure/problems. While Inside Ecology Ltd makes best efforts to provide the Insideecology.com website on a continuous basis, the Advertiser acknowledges and agrees that Inside Ecology Ltd gives no guarantee of the availability of the Insideecology.com website on a continuous or uninterrupted basis. Failure to deliver because of technical difficulties does not represent a failure to meet the obligations of these Terms and Conditions.
Inside Ecology Ltd makes no guarantee regarding the numbers of visitors, page views, impressions or clicks that are available to the Advertiser.
Cancellation
The Advertisement will only run for the Period agreed. The Advertiser is under no obligation to re-book, and the Advertisement will be automatically taken down at the end of the Period.
Once an Advertisement is booked, it cannot be cancelled before the end of the Period and no refund can be made. However, the Advertisement can be taken down at the request of the Advertiser before the end of the Period.
If the Advertiser has a repeat subscription booking with Inside Ecology Ltd and wishes to cancel, the Advertiser must inform Inside Ecology Ltd seven days before the next subscription is due. If the Advertiser fails to provide Inside Ecology Ltd with written notice of cancellation of the Advertisement by the relevant deadline, the Advertiser shall remain liable for payment of the Advertisement.
General
The Advertiser may not assign or transfer any of its rights under these Terms and Conditions to any third party.
No person who is not a party to these Terms and Conditions has any right under the Contracts (Right of Third Parties) Act 1999 to enforce any part of these Terms and Conditions.
Inside Ecology Ltd and the Advertiser warrant that they will duly observe all their obligations under the Data Protection Act 1998 (as applicable) which may arise in connection with these Terms and Conditions.
Where the Advertiser for the purposes of these Terms and Conditions is an advertising agency, the Advertiser represents, warrants and undertakes that it has full authority to enter into the contract on behalf of, and to bind, the company whose products or services are being promoted.
Inside Ecology Ltd and the Advertiser warrant that any information given to the other party, which ought reasonably be treated as confidential, shall be treated as such and such information shall not be disclosed by either party without the prior written consent of the other.
These Terms and Conditions shall constitute the entire agreement between the parties with regard to its subject matter and shall supersede all prior discussions, understandings, commitments and undertakings that either party may have given.
These Terms and Conditions shall be construed in accordance with the Laws of England and the parties submit to the jurisdiction of the English courts.
